Part A — The Agreement

1. The Company

SALA PRIVATE JOURNEYS CO., LTD. (“SALA”, “we”), a company registered in Thailand (Juristic Person Registration No. 0105569093329), is a licensed tour operator under the Tourism Business and Guide Act B.E. 2551, holding Tourism Business Licence No. 11/13784 issued by the Department of Tourism. 2. Definitions

“Client” — the person confirming the booking, on behalf of all travellers named on it. “Trip” — the travel services described in SALA’s written confirmation. “Suppliers” — hotels, carriers, guides and other third parties delivering components of the Trip. “Trip price” — the total price of the Trip stated in SALA’s written confirmation, excluding any separately stated planning fee under clause 3.5. “Travel Date” — the first day of Trip services. “Written notice” — email to reservations@salaprivatejourneys.com; effective on the Bangkok business day it is received.

3. Quotations and confirmation

3.1 Quotations are valid 14 days and subject to availability until deposited.

3.2 A booking exists when SALA has received the deposit and issued written confirmation.

3.3 SALA never places holds, pays deposits, or incurs costs on the Client’s behalf without the Client’s prior written approval.

3.4 The confirmation lists every included service; anything not listed is excluded.

3.5 Where SALA and the Client agree a planning fee for the design of a bespoke itinerary, that fee is stated separately in the quotation, covers consultancy services rendered before travel, and is earned on delivery of the proposed itinerary; it is not part of the Trip price and is not refundable under Section 5.

Part B — Money

4. Prices and payment

4.1 Prices are quoted in Thai Baht (THB) and include applicable Thai VAT.

4.2 Deposit, payable on confirmation: 25% of the Trip price, or, where Suppliers require non-refundable prepayments disclosed under clause 4.4 that together exceed that amount, the total of those required prepayments. The exact deposit is always stated in the quotation before payment.

4.3 Balance: due 30 days before the Travel Date; bookings made within 30 days of the Travel Date are payable in full on confirmation.

4.4 Peak-period components (including but not limited to 20 December – 5 January and Songkran) may require earlier or larger payments where Suppliers impose non-refundable prepayment; any such requirement is disclosed in writing at quotation, before any payment is taken.

4.5 Payment by Thai bank transfer or card; card-processing fees are passed through at cost and disclosed before payment; sender’s bank charges are borne by the Client.

4.6 If the balance remains unpaid 7 days after a written reminder, SALA may treat the booking as cancelled by the Client under Section 5, effective on the date of that notice.

4.7 Where a booking is confirmed more than 60 days before the Travel Date, the Trip price may be adjusted before the balance is due solely to reflect (a) changes in government taxes, levies or entrance fees, or (b) documented Supplier price changes outside SALA’s control, in each case passed through at documented cost with written evidence. Once the Trip price has been paid in full, it is fixed and no surcharge applies. If any such adjustment increases the Trip price by more than 8%, the Client may cancel within 7 days of notice with a full refund of all amounts paid.

5. Cancellation by the Client

5.1 Cancellation takes effect on receipt of written notice.

5.2 Refunds follow the schedule below, which reflects the minimum standards of the Notification of the Tourism Business and Guide Committee Re: Service-Fee Refunds to Tourists B.E. 2563 (2020):

5.3 From any refund due, SALA may deduct only costs already irrevocably paid to Suppliers for the Client’s Trip that SALA cannot recover, and only upon providing the Client written evidence of each such cost. Deductions never exceed the refund otherwise due; the Client is never asked to pay beyond amounts already paid.

5.4 Peak-period Supplier components disclosed as non-refundable under clause 4.4 are, once paid to the Supplier, non-recoverable costs for the purposes of clause 5.3.

5.5 Unused services during the Trip (including late arrival, early departure, or declined components) are not refundable.

6. Changes by the Client

6.1 One revision of the confirmed itinerary is made without SALA fee; Supplier charges arising from any revision are passed through at documented cost.

6.2 Date changes are subject to availability and Supplier terms and may be treated by Suppliers as cancellation and rebooking.

6.3 A change reducing the Trip price by more than 25% is treated, for the reduced portion, as a cancellation under Section 5.

6.4 Traveller name corrections are made free where Suppliers permit.

Part C — Delivery

7. Changes or cancellation by SALA

7.1 SALA may make minor changes to the itinerary where necessary (e.g., equivalent vehicle or guide substitution); material changes are notified promptly with an equivalent or better alternative proposed.

7.2 If SALA cancels the Trip for any reason other than the Client’s breach or force majeure, the Client receives a full refund of all amounts paid, including any planning fee, or, at the Client’s option, an alternative Trip of at least equivalent value.

7.3 Where a material change or SALA cancellation is caused by force majeure, Section 8 applies.

8. Force majeure

8.1 “Force majeure” — events beyond a party’s reasonable control including natural disaster, epidemic or public-health restriction, act of government, war, civil unrest, strike, or Supplier insolvency, whose consequences could not reasonably have been avoided.

8.2 Where force majeure prevents performance, SALA will first attempt to re-arrange affected services. Where that is not possible, SALA refunds all amounts paid, less only documented amounts already irrevocably paid to Suppliers that SALA cannot recover despite reasonable efforts, and offers the Client the choice between that refund and a credit of equal value valid 24 months.

8.3 Neither party is liable for failure to perform caused by force majeure.

9. Insurance

9.1 All travellers on SALA Trips are covered by the accident insurance required of licensed Thai tour operators (minimum ฿1,000,000 per person for death or permanent disability and ฿500,000 for injury, per the applicable Department of Tourism requirements).

9.2 This statutory cover is NOT a substitute for comprehensive travel insurance. It is a condition of booking that the Client obtains travel insurance covering medical treatment, evacuation, cancellation and personal property for all travellers.

9.3 SALA may request evidence of such insurance before the Travel Date.

10. Responsibility and liability

10.1 SALA is responsible for providing the Trip services with reasonable skill and care as described in the confirmation.

10.2 Suppliers are independent businesses; SALA selects them with due care but does not operate their services.

10.3 Nothing in these Terms excludes or limits SALA’s liability for death or personal injury caused by its negligence, or any liability that cannot be excluded under Thai law.

10.4 For all other claims, SALA’s total liability is limited to the price paid for the Trip; SALA is not liable for indirect or consequential losses (such as loss of enjoyment of onward plans or missed unrelated engagements) to the extent permitted by law.

10.5 Nothing in these Terms limits the Client’s rights under the Consumer Protection Act B.E. 2522, the Unfair Contract Terms Act B.E. 2540, or the Tourism Business and Guide Act B.E. 2551.

11. Client responsibilities

11.1 Valid passports (6+ months), visas, and health requirements are the Client’s responsibility; SALA provides information in good faith but immigration decisions rest with authorities.

11.2 The Client must provide accurate traveller information, including dietary, medical and mobility needs that affect service delivery.

11.3 Travellers must follow reasonable safety instructions of guides and Suppliers; SALA may decline to continue services, without refund of the affected components, where behaviour endangers safety or violates Thai law.

Part D — General

12. Complaints

12.1 Issues during the Trip should be reported immediately to SALA’s concierge line so they can be fixed while the Trip is under way.

12.2 Unresolved claims should be sent in writing within 30 days of the Trip’s end with supporting details.

12.3 The Client’s statutory rights, including recourse to the Department of Tourism, remain unaffected.

13. Personal data

SALA processes traveller data (identity, contact, dietary/medical needs) solely to arrange and deliver the Trip and as required by law, shares it only with Suppliers who need it for that purpose, and protects it in accordance with the Personal Data Protection Act B.E. 2562.

14. Governing law and general provisions

14.1 These Terms are governed by the laws of the Kingdom of Thailand; disputes are subject to the jurisdiction of the Thai courts. If these Terms are issued in more than one language, the English version is provided for convenience.

14.2 If any provision of these Terms is held invalid or unenforceable, it is applied to the maximum extent the law permits or severed, and the remaining provisions continue in full force.

14.3 The version of these Terms in force on the date of booking confirmation applies to that booking. SALA may revise these Terms for future bookings.

15. Intellectual property

15.1 Itineraries, proposals and travel documentation prepared by SALA are SALA’s intellectual property, provided for the Client’s personal evaluation and use.

15.2 Until a booking is confirmed, they may not be reproduced or used to procure the same or a substantially similar arrangement from third parties.

15.3 After confirmation, the Client may share Trip documents freely with their travelling party.
